Quick answer
- Who qualifies: a participant (founder or shareholder) of an Armenian commercial organisation with at least AMD 2,000,000 invested in its charter capital, or securities of that value (official). Sole entrepreneur: AMD 1,000,000 in business accounts.
- Validity: temporary card for up to 1 year; continued by a new application, not an extension.
- State duty: AMD 150,000 for the review (was 105,000), not refunded if refused, plus AMD 5,950 for the card (Ministry of Internal Affairs, MIA; Law on State Duty in force from 1 November 2026). LLC registration: no state duty.
- Tabsi Travel fee: request a quote.
- Timeline: company immediate with the model charter, otherwise 1 working day (2 if a legal entity is a founder); residence decision within 30 days of filing, plus preparation, translation, bank and appointment time.
- In person? LLC filed by a representative under power of attorney · residence application online · one in-person appointment · card collected in person with fingerprints · bank identification usually in person.
- Keeping it: tax data on business activity within 180 days; charter capital never below AMD 1,000,000.

What the AMD 2,000,000 rule is and who qualifies
Since 1 November 2026 the amended Law "On Foreigners" (HO-11-N, article 29.4(3)) provides a temporary-residence ground for a participant of a commercial organisation who «առևտրային կազմակերպության կանոնադրական կապիտալում ներդրել է առնվազն երկու միլիոն դրամ» — "has invested at least two million drams in the charter capital of a commercial organisation" — or holds securities of that value (official). In practice: you hold a share in an Armenian LLC (ՍՊԸ) and at least AMD 2,000,000 of its registered charter capital is yours.
- Foreigners may own 100% of the company; no local director is required outside regulated sectors (reported by legal practice guides).
- No bank deposit is needed to register the company. How the AMD 2,000,000 investment is evidenced to the migration authority has not been published: confirm it with us or the MCS before filing.
- The threshold is set in drams. Any USD or INR figure is only an estimate at the exchange rate of the day, not the legal test.
Demand is real: in the first half of 2026 Indian citizens were among the three largest groups granted temporary residence, with Russian and Iranian citizens (official MIA statistics via Armenpress; rankings only).
Registration and residence are two different numbers
Armenian law sets no general minimum charter capital for an LLC: hartak.am, the government service portal, states that "the RA legislation does not define the minimum amount of the authorized capital" (official). AMD 2,000,000 is the residence ground only, checked by the migration authority when you apply; AMD 1,000,000 is the floor it checks afterwards.
Alternative: sole entrepreneur (ԱՁ) with AMD 1,000,000
A registered individual entrepreneur qualifies with at least AMD 1,000,000 in business accounts (official). EY and Meduza report an alternative of AMD 1,000,000 turnover in the 60 days before applying (reported, not yet official). Compare it with all Armenian residence grounds.
What changed for the company route on 1 November 2026
Law HO-11-N was adopted on 20 January 2026, signed on 12 February and entered into force on 1 November 2026 (official). Applications filed before 1 November are decided under the previous rules (official, MCS press release of 30 October 2026). Applications now go through a unified electronic platform; migration.e-gov.am and the "Early One" app no longer serve residence matters (official, MCS notice of 19 June 2026). The MCS closure notice on workpermit.am names the new platform as mcs-permits.am, which was live with an Armenian-language interface only on 2 November 2026 (official). The special 10-year residence status is closed to new applicants (official).
| Topic | Before 1 Nov 2026 | From 1 Nov 2026 | Status |
|---|---|---|---|
| Minimum capital for residence | No amount in the law | AMD 2,000,000 in charter capital | Official (art. 29.4(3)) |
| How to file | In person at the MCS, 14 Tairov St, Yerevan (booking via migration.e-gov.am) | Online on the unified platform (mcs-permits.am), plus one in-person appointment | Official |
| Temporary residence duty | AMD 105,000 | AMD 150,000 for the review, not refunded if refused, plus AMD 5,950 for the card | Official (MIA statement; Law on State Duty in force from 1 Nov 2026) |
| Extension of the card | Possible | Removed; new application | Official (the "extendable by one year each time" wording was deleted from art. 15(2)) |
| Work permission for the founder or director of a majority foreign-owned company | Exempt | Blanket exemption deleted; holders of entrepreneurial residence may work for their company without a separate permission; permission rules deferred to the new e-visa system | Official (art. 23(1), 30(7)) |
| Decision period | 30 days, extendable by 30 | 30 days (no extension clause found in the new text) | Official (art. 17(4)) |
Every change, including those for employees and families: new residence rules from 1 November 2026.
Step by step: from company to residence card
- Prepare documents at home. The founder and the executive head each need a passport copy with a notarised Armenian translation (official, Law on State Registration art. 34(4)). Any other foreign public document must be apostilled or consular-legalised, then translated into Armenian (official, mfa.am). India and Armenia are both Hague Apostille parties, so an apostille from India's Ministry of External Affairs is enough (official, HCCH). The MCS residence pages ask only for a notarised translation of the passport.
- Register the LLC (ՍՊԸ) at the State Register of the Ministry of Justice. The founder, the director or anyone they authorise by power of attorney (POA) may file (official, art. 33); online self-filing needs Armenian e-identification (YesEm or Mobile ID), so a founder abroad uses the POA route (official portal rules). No state duty; the taxpayer identification number (TIN) is assigned automatically; registration is immediate with the model charter, otherwise one working day, two if a legal entity is a founder (official, art. 35). Record at least AMD 2,000,000 of charter capital. Documents, charter options, tax regime and accounting: register an LLC in Armenia.
- Elect a tax regime within 20 days. A company with sales turnover up to AMD 115 million a year may use the turnover-tax regime; a new company elects it within 20 days of registration (official, Tax Code art. 254).
- Open the company bank account. Not required for registration, but needed for real activity and, subject to confirmation, for evidencing the capital. Banks identify the director, the owners above 10% and the beneficial owners and want fresh beneficial-owner evidence, no older than six weeks at one bank; foreign-language documents need a notarised translation, and a foreign corporate founder's documents must be apostilled or consular-certified (official bank documents). Expect a source-of-funds narrative (reported). First identification is usually in person (reported); requirements vary by country of origin and a bank may decline (official, hartak.am). See open a company bank account in Armenia.
- Work permission for the founder or director. The blanket exemption for founders and executive heads of companies with majority foreign capital was deleted from the law on 1 November 2026 (official, art. 23). Holders of temporary residence on the entrepreneurial ground are on the new list of foreigners who may sign an employment or service contract without a separate employment permission, for no longer than their residence term (official, art. 23(1)), so you may work for your company once the card is issued. Without this residence, a founder or director needs the electronic employment permission, whose provisions apply only after the new electronic entry-visa system is launched (official, art. 30(7); no launch found as of 2 November 2026). See work permission for company directors.
- File the residence application on the unified platform (mcs-permits.am). On the platform's entrepreneurship service a legal entity applies for its foreign owner or shareholder (official, platform service page). Register, upload the documents and pay AMD 150,000 for the review, not refunded if refused, and AMD 5,950 for the card (official, MCS press release; MIA statement; Law on State Duty in force from 1 November 2026).
- Preliminary review, one appointment, 5-day deadline. After online review the MCS schedules one in-person appointment. Actions not completed within 5 days suspend the proceeding automatically; your stay remains lawful until the decision (official).
- Decision within 30 days; collection in person. The decision is due within 30 days of filing (official, art. 17(4)). The card is collected in person, with fingerprints and an electronic signature sample; under-16s through a parent (official). The collection location has not been published.
| Step | Who does it | Where you must be | Official timing | Source |
|---|---|---|---|---|
| 1 Documents | You, with notary and translator | At home | Not regulated | State Registration law art. 34; mfa.am |
| 2 LLC registration | You, or a representative under POA | At home (POA) or Yerevan | Immediate, or 1–2 working days | State Registration law art. 33, 35 |
| 3 Tax-regime election | You or your accountant | Online | Within 20 days of registration | Tax Code art. 254 |
| 4 Bank account | You, as director | Usually Yerevan, in person | Bank-specific | Bank document lists; hartak.am |
| 5 Work permission | Not needed once you hold the entrepreneurial residence; otherwise the electronic permission, whose rules are deferred | Online | Deferred until the new e-visa system | Law on Foreigners art. 23(1), 30(7) |
| 6 Residence application | Your company, for you as its foreign owner, on mcs-permits.am | Online | Day 0 of the 30-day clock | MCS press release, 30 Oct 2026; platform service page |
| 7 Appointment | You | Yerevan, in person | After preliminary review; 5-day action deadline | MCS press release, 30 Oct 2026 |
| 8 Decision and card | You | Yerevan, in person (fingerprints) | Within 30 days of filing | HO-11-N art. 17(4); MCS press release |
Plan your Yerevan trip around the one appointment: POA, company filing and the residence application
Honest note: at least one trip to Yerevan is needed for the appointment and the card collection, and usually for the bank identification.
Document checklist
The only official checklist is the pre-reform MCS list; a post-reform list had not been published on migration.mia.gov.am as of 2 November 2026 (official gap). The platform may ask for the same items electronically or change the list.

State duties and other costs of the company route
| Item | Amount (AMD) | Status | Source |
|---|---|---|---|
| LLC registration (ՍՊԸ), state duty | 0 | Official | Law on State Duty art. 16; hartak.am |
| Sole-entrepreneur registration | 3,000 on paper; 0 online | Official | Law on State Duty art. 16 |
| Temporary residence duty (review of the application) | 150,000 (was 105,000); not refunded if refused | Official (MIA statement; Law on State Duty in force from 1 Nov 2026) | MIA statement, 6 Oct 2026; Law HO-12-N; consolidated Law on State Duty |
| Residence card issuance | 5,950 | Official | Law on State Duty in force from 1 Nov 2026 (5.95× base duty) |
| Certificate confirming legality of residence | 30,000 | Official; the law ties this certificate to foreigners working under a treaty exemption (e.g. EAEU citizens), not to the company route | MIA statement, 6 Oct 2026; Law on Foreigners art. 7(3) |
| Charter capital of your company | 2,000,000 | Official; not a fee, it remains your company's capital | HO-11-N art. 29.4(3) |
| Company bank account | Bank-specific; ask each bank for its current tariff (published tariffs for non-resident legal entities run from 10,000 a year to 100,000 to open) | Official bank tariffs (non-resident entities) | Bank tariff sheets |
| Certified translations, notary, medical certificate | Depends on page count and provider; request quotes | No official figure | — |
| Tabsi Travel service fee | Request a quote | — | — |
| Permanent residence duty (later) | 250,000 (was 140,000) | Official MIA statement | MIA statement, 6 Oct 2026 |
Two cautions. Law HO-12-N's own entry-into-force clause reads "from the start of the next tax year", but the consolidated Law on State Duty in force from 1 November 2026 (arlis.am act 232761) already carries the 150×, 250× and 5.95× base-duty lines, and the MIA applies them from 1 November 2026 (official); pay what the MCS platform asks. "From 1 January 2027" in the MIA statement refers to a new duty for work visas, not to residence duties (official).
Duties for every residence ground, with the same status labels, are in the full cost table.
After the card: how not to lose a company-based permit
The status may be deemed invalid if, within 180 days of the grant, no tax data on business activity is recorded, or if the charter capital is withdrawn or falls below AMD 1,000,000 (official, article 29.4(5)). The company must trade, file and have tax assessed in its first six months. EY reports reinvestment exceptions (single source; do not plan around them).
- Turnover-tax return and payment quarterly, by the 20th of the month after the quarter (official, Tax Code art. 259, 261).
- Monthly payroll income-tax return by the 20th; new employees registered before they start (official, art. 156).
- Absence of 183 days or more: notify the MCS via the platform within 10 days (official, art. 17(8)).
- The 1-year card is not extended; file a new application before expiry: re-applying when the 1-year card expires.

From the 1-year card to 5-year permanent residence
Permanent residence on the entrepreneurial ground requires temporary status for at least 3 years within the preceding 5 (official, article 16(1)); the permanent card is valid 5 years (official) and the duty is AMD 250,000 (MIA statement). An "investment in Armenia" ground exists, but the Government has not published its conditions or amount, so there is no fast-track to quote. Annual quotas are law and an exhausted quota is a refusal ground; no figures are published. Temporary status, permanent status and citizenship are compared in our Armenia residence permit guide.
Common mistakes that get a case refused or a permit cancelled
- A shell company with no tax activity in the first 180 days (official).
- Withdrawing capital or letting it fall below AMD 1,000,000 (official).
- Missing the 5-day deadline on the platform: automatic suspension (official).
- Paying the old AMD 105,000 duty, or expecting a refund after refusal (MIA statement).
- Treating an entry visa, eVisa or visa-free stay as residence or a work permit; residence requires substantiating a stay of a year or more (official). Entry rules: Armenia eVisa for Indian citizens.
- Certifying documents the wrong way: apostille only if your country is a Hague party, otherwise consular legalisation (official).
- Assuming a bank account will open; banks decide case by case (official portal).
- Assuming the card renews; a new application is needed (official).
- Forgetting that an exhausted annual quota is a lawful refusal ground (official).

Frequently asked questions
How much capital do I need for an Armenian residence permit through a company?
At least AMD 2,000,000 invested in the charter capital of an Armenian commercial organisation, or securities of that value (official). A sole entrepreneur needs AMD 1,000,000. There is no general LLC minimum.
Does registering a company in Armenia guarantee a residence permit?
No. The MCS decides within 30 days, an exhausted annual quota is a lawful refusal ground, and the status can be invalidated without tax activity in 180 days (official).
How long does the whole process take?
Company registration is immediate with the model charter, otherwise one to two working days; the residence decision is due within 30 days of filing. Translation, bank and appointment time come on top.
Is the 1-year residence card renewable?
No. The "extendable by one year each time" wording was deleted from the law on 1 November 2026 (official, art. 15(2)); you file a new application before the card expires.
Do I need a work permit to be the director of my own company?
The blanket founder/director exemption ended on 1 November 2026, but a holder of entrepreneurial temporary residence may work for the company without a separate employment permission (official, art. 23(1)). The permission rules are deferred until the new e-visa system launches.
Can I get permanent residence directly through the company?
No. Entrepreneurial permanent residence requires three years of temporary status within the preceding five (official). The investment ground exists, but its conditions are unpublished, so there is no fast-track.
Does an Armenian eVisa or visa-free entry let me work or stay long-term?
No. A visa or visa-free stay is not residence, which requires substantiating a stay of a year or more (official), and it is not a work permit. See our India page.
Can my foreign-owned Armenian company open a bank account?
Case by case. Banks identify the director, owners and beneficial owners, usually in person, ask for source-of-funds evidence, and may refuse without reasons (official bank documents; government portal). Never guaranteed.
