Company Registration in Armenia: LLC Steps, Cost and Taxes for Foreign Founders (2026)

An Armenian LLC can be registered with no state duty and, with the model charter, on the same day; what trips up foreign founders is the 20-day tax-regime election, document translation and legalisation, and knowing when you must be in Yerevan. This guide covers the steps, costs and 2025–2026 taxes, citing the law.

At a glance

  • Who qualifies: any foreign person or company; 100% foreign ownership, no local director outside regulated sectors (reported). Founder, director or a representative under power of attorney files (official).
  • Government fee: LLC none; sole proprietor (IE) AMD 3,000 on paper, free online (official).
  • Tabsi Travel fee: request a quote.
  • Timeline: immediate with the model charter; otherwise 1 working day; 2 if a company is a founder (official).
  • In person? Online self-filing needs the Armenian e-ID (YesEm); from abroad, file by power of attorney. Banks usually need the director in a branch (reported).
  • Minimum capital: none by law; AMD 2,000,000 only as the residence ground, from 1 November 2026 (official).

Armenian LLC or sole proprietor (IE): which one?

The two forms are the limited liability company (LLC, Armenian ՍՊԸ) and the individual entrepreneur (IE, ԱՁ, sole proprietor), both registered at the State Register of Legal Persons of the Ministry of Justice.

Table 1 — LLC vs IE, as of 2026-11-02. Sources: Law on State Registration arts. 27, 34, 35; Law on State Duty arts. 8, 16; e-register.moj.am; hartak.am (all official).

One tax detail decides many cases: an IE inside the turnover-tax system also pays a fixed profit tax of AMD 5,000 a month (official, Tax Code art. 125(3)); an LLC on turnover tax pays no separate profit tax or VAT.

Who can register a company in Armenia? (100% foreign ownership)

Foreign individuals and companies may own 100% of an Armenian company; no local shareholder or director is required outside a few regulated sectors (reported by Chambers 2026 and Armenian law firms). The founders, the head of the executive body (director) or any person with active legal capacity they authorise may file — Law on State Registration art. 33 (official). That is how founders abroad register.

From 1 November 2026, founders and directors of companies with 50% or more foreign capital lose their exemption from employment permission (reported by EY and Schneider Group; not confirmed on an official page). See work permission for the company director.

Entry is separate: a visitor visa or eVisa lets you enter; it is not permission to work and not a residence permit. Indian citizens can start with the Armenia eVisa for Indian citizens.

Home-country public documents follow Armenia's general rule: apostille if your country is a Hague Apostille Convention party, otherwise consular legalisation, then a notarised Armenian translation (official, Ministry of Foreign Affairs); check your country on the HCCH status table first. For a plain passport copy the registry route is the notarised translation.

Not required: no bank certificate or proof of capital payment is on the official list (official; confirmed by practice guides). A seal is not listed either; it is reported to be optional, and many companies work without one. A beneficial-owner declaration at incorporation, confirmed yearly by 20 February, is reported by one practice guide (single source; not confirmed on an official page). Send the checklist question on WhatsApp.

How to register a company in Armenia, step by step

  1. Choose the name. A name containing "Armenia", "Hayastan" or "hay" carries an annual duty of AMD 600,000 (official, Law on State Duty art. 20).
  2. Prepare the charter. Model charter: immediate registration; custom charter: up to 1 working day; a legal entity among the founders: up to 2 (official, art. 35).
  3. Sign the founders' decision and collect the director's passport data, PSN or declination note, and e-mail (official, art. 34).
  4. Sign a power of attorney if you are abroad. Any authorised person with legal capacity may file (official, art. 33). One law firm reports that the registry power of attorney needs no notarisation and that a PSN is only issued in Armenia (reported, single source).
  5. File at the State Register of Legal Persons (Ministry of Justice, e-register.moj.am; service pages on hartak.am). Online self-filing needs YesEm (ID card and reader, or Mobile ID); anyone, including foreign citizens, can file in person (official). Mobile ID reportedly needs a residence card or work permit plus a PSN (reported).
  6. Registration number and TIN (taxpayer identification number, ՀՎՀՀ) and the social-contribution account number are assigned automatically (official, art. 35(6)); the TIN is not a separate step.
  7. Elect the tax regime within 20 days. The turnover-tax statement is due by the 20th day after state registration, or by 20 February in later years (official, Tax Code art. 254). Missing it is avoidable: put the date in your calendar on registration day.

Then: the accounting and payroll calendar (tax section) and the bank account (banking section).

Company taxes in Armenia: 2025–2026 rates

Since 1 January 2025 the old flat 5 % rate of turnover tax survives only for Government-listed secondary raw materials (official, Tax Code art. 258); the rates below match PwC's summary reviewed 30 June 2026.

Table 5 — Tax regimes for a small company, as of 2026-11-02. Source: Tax Code arts. 59, 63, 125, 134–135, 254, 258–261, 267–269 (arlis.am, official).

General regimeDefault if you do not elect turnover tax; VAT mandatory above AMD 115 millionProfit tax 18%; VAT 20%—Profit-tax return by 20 April; quarterly advances by the 20th of the last month of each quarter

Under the amendment signed 4 April 2025, legal, accounting, real-estate transaction and management-consulting activities, among others, cannot use the turnover regime from 1 January 2025 (reported by two tax-news services; the English Code consolidation may not show the list, so it is not exhaustive here).

Salaries and dividends

Personal income tax is a flat 20% since 1 January 2023 (official, art. 150). Dividends are taxed at 5% for individuals and non-resident companies; a treaty may reduce this (official, arts. 125, 150). The payroll return is monthly, due by the 20th of the following month, and employees must be registered before they start (official, art. 156).

IT companies: the IT certificate is closed, what is the 2025 scheme?

The 0% profit-tax "IT certificate" ended after 2023 and is closed to new companies (reported by Armenpress and law firms). Since 1 January 2025, Government-listed high-tech activities instead pay a 1% turnover tax (official, art. 258(1)(8)), and a state-support programme running to 31 December 2031 refunds 60% of the income tax on new employees and labour migrants, 50% for retraining, capped at 50% of payroll income tax, for applicants with at least 90% of turnover from listed activities (official, hartak.am; EY). The test is activity on the Government list, not a certificate.

Company registration and Armenian residence: how they connect

Registration has no capital requirement (official). The residence ground is different: under Law HO-11-N (adopted 20 January 2026, in force 1 November 2026) a participant of a commercial organisation qualifies with at least AMD 2,000,000 invested in its charter capital (official, art. 29.4(3)); a sole entrepreneur needs AMD 1,000,000 in business accounts (official), or reportedly AMD 1,000,000 of turnover in the 60 days before applying (reported).

The status may be invalidated if, within 180 days of the grant, no tax data on the business is recorded, or if capital is withdrawn or falls below AMD 1,000,000 (official, art. 29.4(5)): the company must really operate, file and have tax assessed in its first six months. From 1 November 2026 residence applications are to go through a new unified electronic platform; the Migration and Citizenship Service notice of 19 June 2026 says migration.e-gov.am and the Early One app are no longer available from that date (official). As of 2 November 2026 no official launch notice for the platform had been published.

Eligibility, refusals and keeping the status: see getting Armenian residence and residence through a company.

The company bank account after registration

The account does not follow automatically, and no capital is paid into a bank before registration (reported; the official list has no bank item). Most banks require the director in a branch for identification; a fully remote first opening exists only at some banks, only if you meet their criteria, never guaranteed (reported; bank pages).

Expect to provide an apostilled or consular-certified charter and registration certificate, documents on the director and on owners above 10%, beneficial-owner identification and notarised translations (official bank lists); beneficial-owner evidence may be at most six weeks old at one bank (official). Law firms call the process long, with the bank entitled to ask for anything related to the company (reported). Nationals of FATF high-risk jurisdictions face enhanced due diligence (reported). FAQ: company registration in Armenia

Can a foreigner, for example an Indian citizen, register a company in Armenia without a local partner or director?

Yes. 100% foreign ownership is allowed and no local director is required outside regulated sectors (reported). The founder, director or an authorised representative files (official, art. 33). From 1 November 2026 founders and directors of companies with 50% or more foreign capital need employment permission (reported).

How much does it cost to register an LLC in Armenia?

No state duty for an LLC; a sole proprietor pays AMD 3,000 on paper, nothing online; a name containing "Armenia" costs AMD 600,000 a year (official). No minimum capital. Translation, notary and our fee are quoted per case.

Can I register an Armenian company without visiting?

Yes: any authorised person with legal capacity may file for you under power of attorney (official). Online self-filing needs YesEm, which needs an Armenian ID card or Mobile ID (official). Bank identification is usually in person (reported).

What is the minimum share capital for an Armenian LLC?

None: Armenian law does not define a minimum authorised capital (official, hartak.am). AMD 2,000,000 applies only if the company is your ground for a residence permit, from 1 November 2026 (official, Law HO-11-N).

What taxes does a small company pay in Armenia?

Under AMD 115 million turnover you can elect turnover tax: 10% trade and services, 7% production, 12% catering, reduced by documented expenses to floors of 1%, 4.5%, 3% and 3.5%. Otherwise 18% profit tax and 20% VAT. Salaries 20%, dividends 5% (official).

Does registering a company give me Armenian residence?

Not by itself. The residence ground needs at least AMD 2,000,000 in charter capital, and the status can be invalidated if no tax data is recorded within 180 days (official). Nothing is guaranteed. See residence through a company.
